DDH Graham Limited acts as the Responsible Entity of Childcare Property Trust No. 3.

Following a capital raising of $12.32 million in August 2002 the Trust acquired
15 childcare centres and related freehold property.

A restructuring of the Trust took place in 2004 resulting in the sale of 8 childcare businesses. The Trust retained the land and buildings from which the businesses are conducted and receives a market rental from the tenant.

The Trust has been established as a property trust with an investment strategy to invest in childcare centres.

Freehold property only

Each centre is leased to and managed by wholly owned subsidiaries of A.B.C. Learning Centres Limited. The centres have a total of 1,041 licensed places.


During 2006 the Trust entered into agreements to sell all of the CPT-3 childcare businesses to a subsidary of Ramsay Bourne Holdings Pty Ltd (RBH). Each childcare business will settle upon expiry of the current management lease in September 2007.

The agreement with RBH also covers the sale of the related freehold properties, which from September 2007 will be leased to RBH on a fixed rental basis. These properties, which are covered by put and call options, will settle no later than 6 months after the sale of the childcare businesses that is, no later than March 2008. In that period the Trust will receive rental income from RBH.

The Trust was wound up effective 30 September 2008, with the final distribution paid to unitholders on 10 September 2008.
